These Terms and Conditions (“T&C”) govern the provision of facility maintenance and service contracts by All Systems Facility Services (“ASFS,” “we,” “us”) to our retail and commercial clients (“Client,” “you”) for plumbing, electrical, HVAC, pressure washing, landscaping, janitorial, and general repair services, including work performed by approved subcontractors. By engaging our services, you agree to these terms.
ASFS provides non-construction facility maintenance and service contracts for retail and commercial properties, limited to:
Services may be performed by ASFS or through approved subcontractors. Specific scope, schedules, and deliverables will be detailed in each contract or work order.
Clients shall pay ASFS according to the rates and schedule in the contract, due within 30 days of invoice receipt unless otherwise agreed. Late payments incur a 1.5% monthly fee. ASFS compensates subcontractors; their costs may be included in Client invoices as specified.
ASFS may subcontract portions of the services to qualified providers. Subcontractors must adhere to these T&C and ASFS’s quality standards. ASFS oversees subcontractors but is not liable for their errors beyond our reasonable control.
ASFS and its subcontractors will protect Client information per our Privacy Policy (https://www.allsystemsfs.com/privacy-policy/). Confidential data is used only to perform contracted services and not disclosed without consent, except as legally required.
ASFS performs services professionally but limits liability for damages caused by subcontractors, Clients, or third parties beyond our control. ASFS maintains general liability insurance; subcontractors must carry their own coverage (e.g., liability, workers’ compensation). Clients indemnify ASFS against claims from Client negligence or misuse of services.
ASFS and subcontractors comply with applicable federal, state, and local laws, including OSHA safety standards and privacy regulations. Clients ensure site-specific compliance (e.g., permits) unless otherwise contracted.
Either party may terminate a contract with 30 days’ written notice. Immediate termination is allowed for material breach (e.g., non-payment, safety violations) if uncured within 10 days of notice. Clients pay for completed work upon termination.
ASFS warrants services for 90 days from completion, covering workmanship defects. No additional warranties, express or implied, apply unless specified in the contract.
ASFS is not liable for delays due to uncontrollable events (e.g., natural disasters, government restrictions), with reasonable efforts to resume services promptly.
Disputes will be addressed through negotiation, followed by mediation if unresolved. Legal action, if necessary, will be filed in Sarasota County, Florida, under Florida law.
